Agreement to Terms
By accessing or using ManagedCRM.org services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.
Service Description
ManagedCRM.org provides fully managed CRM and marketing automation services for home service contractors. Our Services include:
- Custom GoHighLevel account setup and configuration
- Real-time integration with booking and field-service software
- Marketing automation and workflow design
- Ongoing support and optimization
- SMS and email marketing capabilities
Subscription Terms
Service Plans
We offer tiered subscription plans as described on our website. You agree to pay the fees associated with your selected plan for the duration of your subscription.
Billing and Payment
Advance Payment: Services are billed in advance on a monthly basis. Payment is due at the beginning of each billing cycle.
Setup Fees: One-time setup fees apply to all service plans and are charged separately from monthly subscription fees. Setup fees are covered by the 14-day money-back guarantee and are non-refundable after the initial 14-day window has passed.
Payment Methods: We accept major credit cards and other payment methods as specified on our website. You authorize us to charge your chosen payment method for all fees.
Failed Payments: If payment fails, we may suspend your Services until payment is received. We reserve the right to charge late fees or take collection actions for unpaid amounts.
Refund Policy
Initial Signup Guarantee
We want you to be entirely satisfied with your purchase. New subscribers are entitled to a 14-day unconditional money-back guarantee. If you decide our service is not the right fit for your business, you may request a full refund of your initial subscription fee within fourteen (14) days of your original signup date. Upon processing your refund, your account access will terminate immediately.
Monthly Renewals & Cancellations
Following your initial 14-day window, your subscription will automatically renew each month. We do not offer refunds on monthly renewal fees under any circumstances.
- Immediate Cancellation: You may cancel your subscription at any time through your dashboard or account settings.
- Access Period: Upon cancellation, no further renewal charges will be made. Your subscription will remain fully active, and you will retain access to the services until the end of your current paid billing cycle.
Custom Services & Setup Fees
Due to the nature of our technical services—including custom environment setup, bespoke configurations, and manual platform integration work—upfront setup fees and custom onboarding charges are covered by the 14-day money-back guarantee during your initial signup window. After the initial 14-day window, all setup and configuration sales are final, and no refunds are offered on upfront setup fees or custom onboarding charges.
Service Outages and Service Credits
In the event of a significant, verified service disruption on our part, we may, at our sole discretion, issue a prorated service credit to your account.
- Service credits are non-transferable and hold no cash value.
- Credits cannot be exchanged for cash or cash-equivalent refunds back to your original payment card.
- Approved credits will be applied automatically as a discount toward your next scheduled monthly subscription invoice.
Subscription Changes and Cancellation
Plan Changes: You may upgrade or downgrade your plan by contacting our support team. Changes take effect at the start of the next billing cycle.
Service Termination: We reserve the right to terminate or suspend your Services for violation of these Terms, non-payment, or other reasons as specified in these Terms.
A2P 10DLC Texting Compliance
Overview
Our Services include SMS/text messaging capabilities subject to Application-to-Person (A2P) 10-Digit Long Code (10DLC) regulations. You agree to comply with all applicable laws and carrier requirements regarding SMS marketing.
Opt-In Consent Requirements
Express Consent: Before sending any marketing SMS messages, you must obtain express written consent from recipients. Consent must be:
- Clear and unambiguous
- Specific to SMS marketing
- Documented and retrievable
- Include disclosure of message frequency and data rates
- Include instructions for opting out (STOP, HELP, etc.)
Content Restrictions
You agree not to send SMS messages that contain:
- Illegal, harmful, or threatening content
- Sexually explicit material
- Hate speech or discriminatory content
- Misleading or fraudulent information
- Violations of intellectual property rights
- Spam or unsolicited commercial messages without proper consent
Opt-Out Mechanisms
All SMS messages must include clear opt-out instructions. Recipients must be able to opt out by replying with keywords such as STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. You must honor opt-out requests within 10 business days and maintain suppression lists.
Message Frequency and Timing
You must comply with carrier guidelines regarding message frequency, timing restrictions, and volume limits. Excessive messaging or violation of carrier guidelines may result in service suspension or termination.
10DLC Registration
Registration Responsibility: You are responsible for completing and maintaining accurate 10DLC registration with The Campaign Registry (TCR) or other applicable registration systems. This includes providing accurate business information, use case details, and sample message templates.
Compliance Monitoring: We monitor SMS traffic for compliance with A2P regulations. Violations may result in message blocking, service suspension, or account termination.
Carrier Fees: You are responsible for any carrier fees, registration fees, or other costs associated with 10DLC compliance and SMS delivery.
TCPA Compliance
You agree to comply with the Telephone Consumer Protection Act (TCPA) and all other applicable laws governing SMS marketing. This includes obtaining prior express consent for autodialed or prerecorded calls/texts to mobile phones.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information for service setup
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Obtain necessary consents for marketing communications
- Ensure your use of the Services does not violate third-party rights
- Notify us promptly of any security breaches or unauthorized access
Intellectual Property
Our Property: All content, software, and materials provided as part of our Services remain our intellectual property or that of our licensors.
Your Property: You retain ownership of your business data, customer information, and content you upload to our Services. You grant us a license to use this data solely to provide the Services.
Integration and Third-Party Services
Our Services integrate with third-party booking and field-service software. You are responsible for maintaining valid accounts with these third-party services and complying with their terms of service. We are not responsible for the availability, functionality, or terms of third-party services.
Service Availability and Support
We strive to maintain high service availability but do not guarantee uninterrupted access. Support response times vary by service plan. We reserve the right to schedule maintenance with reasonable notice.
Limitation of Liability
To the maximum extent permitted by law, ManagedCRM.org shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of our Services.
Our total liability for any claims shall not exceed the amount you paid for Services in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless ManagedCRM.org, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or violation of any third-party rights.
Confidentiality
Both parties agree to maintain the confidentiality of each other's confidential information and not disclose it to third parties except as required by law or necessary to provide the Services.
Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, strikes, or government actions.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which ManagedCRM.org is established. Any disputes shall be resolved through binding arbitration rather than in court, except as otherwise required by law.
General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and ManagedCRM.org regarding our Services.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.
